New Jersey's Change Form Has Printed Its Own Price Since 1994

The Second Year Is Not Published
Our July 2026 review came back with an empty cell where the renewal figure belongs, and we are leaving it empty. Manufacturing a number to fill it would make this page less useful than the blank does.
What we will say about the blank is limited to what it is. This state wants an agent named on the record in every year the company survives, first year included and no year excepted, so a free opening term is the front end of a repeating obligation whose second price is simply absent while you decide. That objection would stand if the eventual figure landed at $79 and it would stand at $299. How the disclosure is built is the issue here, not the magnitude of what sits behind it.

The form an LLC uses to change its registered agent is L-122. The document posted on the state's site carries a 4/94 revision date, with instructions last touched in 2005, and its text still refers to Title 42:2B, the LLC act that New Jersey replaced with the Revised Uniform Limited Liability Company Act in 2013. The state keeps it posted and keeps accepting it, and the online amendments service handles the same change for anyone who would rather not deal with paper at all.
Here is the part that matters for this comparison. Printed on that thirty-year-old page, in plain type, is the statutory fee: $25, with a note that a check should be made out to Treasurer, State of New Jersey. A document old enough to predate most of the internet tells you what it costs before you fill in a single field. Whatever else you think about the form, it has never once made anyone reach checkout to learn the price.

Replacing Inc Authority With a New Jersey Filing
Moving the appointment means one certificate of change and $25 to the Division of Revenue and Enterprise Services (DORES), submitted on paper with a check or through the state's online amendments portal, and the same $25 applies if you make the swap inside your annual report instead. Timing is worth one sentence of its own. Line up the replacement agent first and file second, because New Jersey leaves the existing name on the record until it processes your certificate; that overlap is what turns the change into a clean handoff on one date rather than a stretch when nobody is authorized to accept a summons for your company.
